1. Accounts and Identity
You are responsible for keeping your sign-in credentials, identity provider accounts, administrative accounts, and devices secure. VroomITs may use third-party identity providers, including Microsoft Entra External ID and other accepted social or enterprise identity providers, to authenticate customers.
You agree to provide accurate account, organization, billing, and contact information, and to notify us promptly if you suspect unauthorized account access.
If you invite users, assign roles, connect identity providers, or administer an organization account, you are responsible for ensuring that those users and permissions are authorized and appropriate.
2. Organizations and Authority
If you create, join, administer, or use a VroomITs organization, tenant, workspace, subscription, or customer account on behalf of a company or other entity, you represent that you are authorized to do so.
VroomITs may rely on instructions from users who appear to have administrative authority within the applicable account, organization, marketplace subscription, or identity provider.
3. Acceptable Use
You may not use VroomITs services to:
- Violate law or regulations.
- Infringe intellectual property, privacy, publicity, or other rights.
- Interfere with service operation or security.
- Bypass licensing, activation, authentication, authorization, rate limits, or security controls.
- Probe, scan, or test systems without authorization.
- Distribute malware, harmful code, or unauthorized access tools.
- Misuse automation, support features, reporting tools, diagnostic tools, or marketplace features.
- Upload or transmit content that is unlawful, deceptive, harmful, abusive, or unauthorized.
- Use VroomITs services in a way that creates security, operational, legal, reputational, or business risk for VroomITs, customers, users, or third parties.
4. Software, Licenses, and Entitlements
Access to VroomITs software and services may depend on active licenses, subscriptions, entitlements, trials, marketplace purchases, activation status, or product-specific terms.
Unless expressly allowed by applicable law or a written agreement with VroomITs, you may not copy, resell, sublicense, lease, redistribute, modify, reverse engineer, decompile, disassemble, bypass technical controls, or create derivative works from VroomITs software.
VroomITs may use activation, entitlement, license, domain, tenant, device, organization, or subscription checks to verify authorized use.
5. Trials, Previews, Betas, and Free Tools
VroomITs may offer trials, previews, betas, evaluations, free tools, limited-use versions, early-access versions, or demonstration features. These may be changed, suspended, limited, or discontinued at any time.
Trials, previews, betas, and free tools are provided for evaluation and may be incomplete, unsupported, rate-limited, time-limited, telemetry-enabled, watermarked, or subject to additional restrictions. They should not be used as the sole basis for production decisions unless VroomITs expressly states otherwise in writing.
6. Billing, Payments, Refunds, and Marketplace Purchases
Paid products may require valid billing information or purchase through an approved marketplace or reseller. Fees, renewal terms, taxes, payment timing, cancellation terms, and refund terms are shown at purchase, in the customer portal, through the marketplace, or in an applicable written agreement.
Unless otherwise stated, payments are nonrefundable except where required by law or expressly agreed in writing.
For marketplace purchases, the marketplace provider may handle billing, payment, taxes, cancellation, refunds, subscription management, and entitlement information under its own terms.
7. Customer Content
You retain ownership of your content, configurations, reports, exports, repositories, files, and other materials you provide to VroomITs.
You grant VroomITs the limited rights needed to provide, secure, support, troubleshoot, operate, bill for, and improve the services. This includes the right to process, transmit, store, analyze, display, and generate outputs from customer content as necessary for the applicable product or service.
You are responsible for ensuring that you have all rights, permissions, and authority needed to provide customer content to VroomITs and to connect VroomITs services to third-party systems.
8. Administrative, Diagnostic, Security, and Reporting Tools
Some VroomITs products may analyze, report on, validate, or assist with administrative, security, compliance, accessibility, source-control, infrastructure, directory, policy, endpoint, or application environments.
VroomITs tools may provide findings, scores, reports, recommendations, generated outputs, remediation suggestions, or automation features. These outputs are informational and operational aids. They are not legal, compliance, accounting, security, audit, tax, or professional advice.
You are responsible for reviewing outputs, testing changes, maintaining backups, validating results, obtaining approvals, and deciding whether and how to act on any recommendation or automation.
VroomITs does not guarantee that a tool will find every issue, fix every problem, prevent every outage, identify every vulnerability, satisfy every audit requirement, or ensure compliance with any law, regulation, policy, standard, or framework.
9. Backups and Customer Responsibility
You are responsible for maintaining appropriate backups, rollback plans, administrative access, test environments, approvals, and change-control processes for your systems and data.
Before using any tool that modifies, repairs, remediates, updates, synchronizes, publishes, deletes, overwrites, or generates changes, you are responsible for verifying the scope and impact of the action.
10. Third-Party Services and Integrations
VroomITs services may connect to third-party identity, source-control, payment, marketplace, analytics, hosting, communication, cloud, security, or other providers. Those providers may have their own terms, privacy notices, fees, permissions, service limits, and availability.
VroomITs is not responsible for third-party services outside our control. You are responsible for managing third-party accounts, tokens, permissions, credentials, repositories, tenants, subscriptions, and data access.
11. Telemetry and Diagnostics
Telemetry and diagnostic collection are governed by the VroomITs Privacy Statement and available product controls.
Some telemetry, security, licensing, fraud-prevention, entitlement, crash, and service-operation logs may be necessary to provide, protect, support, bill for, and operate the services.
12. Support
Support availability, response times, channels, and scope may vary by product, plan, purchase method, marketplace terms, or written agreement.
Unless VroomITs expressly agrees otherwise in writing, VroomITs does not provide guaranteed support response times, uptime commitments, professional services, managed services, emergency response, or custom remediation.

13. Availability and Changes
We work to keep services reliable, but we do not guarantee uninterrupted availability. We may modify, suspend, limit, or discontinue services, features, downloads, integrations, trials, previews, or support channels when necessary for security, maintenance, business, legal, technical, or operational reasons.
We may update software, documentation, pricing, packaging, licensing, activation methods, telemetry options, and product features over time.
14. Intellectual Property
VroomITs and its licensors retain all rights, title, and interest in VroomITs software, services, documentation, trademarks, logos, designs, code, inventions, workflows, reports, templates, interfaces, and other intellectual property.
No rights are granted except as expressly stated in these terms or another written agreement with VroomITs.
If you provide suggestions, feedback, ideas, bug reports, feature requests, or other input, you grant VroomITs permission to use that feedback without restriction or obligation to you.
15. Confidentiality
You may receive nonpublic information about VroomITs products, previews, pricing, roadmaps, designs, security practices, or business plans. You agree not to disclose confidential VroomITs information unless authorized in writing or required by law.
VroomITs will treat customer diagnostic materials and nonpublic customer information as confidential except as needed to provide, secure, support, troubleshoot, operate, enforce, or improve the services, or as otherwise permitted by these terms, the Privacy Statement, or a written agreement.
16. Compliance, Export, and Restricted Use
You are responsible for using VroomITs services in compliance with applicable laws, regulations, sanctions, export-control rules, procurement rules, organizational policies, and third-party terms.
You may not use, export, re-export, transfer, or provide access to VroomITs software or services in violation of applicable export-control or sanctions laws.
17. Disclaimers
Except where prohibited by law, VroomITs services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, reliability, availability, security, or error-free operation.
VroomITs does not warrant that services will be uninterrupted, secure, error-free, complete, or suitable for your particular environment or intended use.
18. Limitation of Liability
To the maximum extent permitted by law, VroomITs will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenues, lost data, lost goodwill, business interruption, system downtime, security incidents, remediation costs, replacement services, or loss arising from customer changes, third-party services, or reliance on reports or recommendations.
To the maximum extent permitted by law, VroomITs aggregate liability for claims relating to the services will not exceed the amounts paid to VroomITs for the affected service during the twelve months before the claim.
19. Indemnity
You agree to defend, indemnify, and hold harmless VroomITs from claims, damages, liabilities, costs, and expenses arising from your misuse of the services, violation of these terms, violation of law, violation of third-party rights, unauthorized use of connected systems, or customer content you provide.
20. Termination and Suspension
You may stop using the services at any time. VroomITs may suspend or terminate access if you violate these terms, fail to pay amounts due, create risk, misuse services, infringe rights, violate law, compromise security, or use the services in a way that may harm VroomITs, customers, users, or third parties.
Upon termination, your right to access the applicable services ends. Certain provisions will survive termination, including those relating to payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, governing law, and any provisions that by their nature should survive.
21. Governing Law
These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, unless mandatory law requires otherwise.
22. Changes to These Terms
We may update these terms from time to time. The updated version will be posted with a new effective date. If changes are material, we may provide additional notice through the portal, product, email, or other reasonable means.
Continued use of VroomITs services after updates take effect means you accept the updated terms.
